PRELIMINARY VOTING TALLIES OF THE AAG, INC. SHAREHOLDERS MEETING HELD IN SEATTLE, WA ON THE MAY 16, 2006
[be advised: these are estimates and could change...]
(Please Note--THE OPPOSITION SOLICITATION ENDED ON MAY 17, 2006)

(We anticipate the final results will be published with the US SEC in the AAG's next 10K filing in Aug. 2006; [hopefully earlier, according to the Inspector of Elections])

Out of about 29.4 million shares cast at the meeting (from 36 million outstanding):

Proposal 1: Election of directors: All of the AAG incumbents, which included Messrs. Bruce R. Kennedy, Jessie J. Knight, Jr., J. Kenneth Thompson and Ms. Patricia M. Bedient received about around 91.5% of the votes cast. We presume that the "discretionary vote" and/or the "broker vote" of uninstructed shares all were voted for the incumbents. The Inspector of Elections did not have the exact percentage, but after looking at the rough numbers at the end of the meeting, we believe it was around 10% (3.7 million shares). If you subtract 10% from the above totals, the incumbents won by approximately 81.5% of the "instructed" shares cast.

Challengers: Steve Nieman, Richard D. Foley, Terry K. Dayton--less than .01% of the votes cast. We will report more exact figures once the 401(k) vote is squared away in a few days...

(Below: The "broker vote" was cast for the director proposals No. 2 and 3, but not voted on the shareholder proposals 4 through 10, to the best of our knowledge...Percentages rounded up to the next decimal place)

Proposal No. 2 Board Proposal to Amend the Restated Certificate of Incorporation to Eliminate Article 10 –– 99.3% of Yes/No Vote; 81.1% of outstanding shares

Proposal No. 3 Board Proposal to Amend the Restated Certificate of Incorporation to Provide for Annual Election of All Directors –– 99.7% of Yes/No Vote; 81.4% of outstanding shares

Proposal No. 4 Stockholder Proposal to Adopt Simple Majority Vote –– 27.4% of Yes/No Vote; 19.6% of outstanding shares

Proposal No. 5 Stockholder Proposal on Simple Majority Vote When Amending Bylaws –– 29.7% of Yes/No Vote; 20.5% of outstanding shares

Proposal No. 6 Majority Vote Standard For The Election Of Directors –– 27.7% of Yes/No Vote; 19.5% of outstanding shares

Proposal No. 7 Stockholder Proposal to Enforce Shareholder Votes –– 13.4% of Yes/No Vote; 9.6% of outstanding shares
